ELIGIBILITY: The Brooks Hibbett Employee Certification Program and Sweepstakes ("Incentive Program") is open to all approved sales associates at participating Hibbett Sports^® retail locations who are 18 or older at time of Program Period noted below. U. S. law governs this Incentive Program. Void outside the United States and wherever else prohibited by law. Brooks Sports, Inc. reserves the right to verify eligibility qualifications and proof of sales of any participating sales associate.

PROGRAM DESCRIPTION: The entry period of the Incentive Program is from May 1, 2011 to September 30, 2011 ("Program Period"). Each associate is required to complete the 3point5 Brooks Footwear & Brand Training Edugame (for the Spring 2011 Season), at 3Point5.com, and is encouraged to sit through a Brooks clinic. Upon selling 5 pairs of Brooks shoes at full retail price, eligible associates will receive a free pair of Brooks shoes (style will be one that the retailer carries with a maximum retail value of $140). If associate sells 15 pairs of Brooks shoes at full retail price, eligible associates will receive a $25 Hibbett Sports Gift Certificate in addition to the free pair of Brooks shoes they have already received as noted above. If associate sells 30 pairs of Brooks shoes at full retail price, eligible associates will receive a $50 American Express Gift Certificate in addition to the $25 Hibbett Sports Gift Certificate and free pair of Brooks shoes they have already received as noted above. This Incentive Program will limit each sales associate to receiving a maximum of one pair of Brooks shoes as noted above, one $25 Hibbett Sports Gift Certificate and one $50 American Express Gift Certificate depending upon how many pairs of Brooks shoes they sell at full retail price. For each pair of Brooks shoes sold at full retail price during the Program Period, associates will receive one (1) sweepstakes entry in the drawing for a chance to win one of the five grand prizes.

Beginning May 1, 2011, go to http://hibbett.runhappyu.com to register and check your progress as well as for opportunities to earn additional entries for a chance to win a Xbox 360 Kinect. Tracking sheets will be posted in stock rooms at participating Hibbett Sports stores. All sales on the tracking sheet must be signed off by a manager. If there is no manager signature, the sales do not count toward the total. All sales must be recorded on Tracking Sheets by September 30, 2011 to be eligible to receive an award and eligible to receive a sweepstakes entry. Brooks will award incentives to Hibbett employees at the end of July and at the end of the Incentive Program. Sales will accumulate and carry over each month towards receiving Awards and sweepstakes entries.

All Tracking Sheets become the sole property of Sponsor and receipt of submissions will not be acknowledged. For your records, keep copies of all documentation submitted. Incomplete sales information listed on Tracking Sheets are void and will not be eligible to receive an award. Any sales associate who attempts or otherwise encourages, directly or indirectly, the entry of multiple or false contact information under multiple identities or false sales documentation, as determined by the Sponsor will be disqualified. Sponsor and its respective parents, subsidiaries and affiliates are not responsible for any human error that may occur in the processing of the Tracking Sheet in the Incentive Program or for late, lost, misdirected, illegible, damaged or incomplete submissions which will be deemed ineligible and disqualified.

If for any reason, (including tampering, unauthorized intervention, fraud, or any other cause beyond reasonable control of Sponsor and their parent, subsidiaries and affiliates, that corrupts or affects the administration, security, fairness, integrity, or proper conduct of this Incentive Program), and the Program is not capable of being conducted as described in these Official Rules, Sponsor shall have the right, at its sole discretion, to cancel, terminate, modify or suspend this Incentive Program, and select the award recipients from Tracking Sheet submissions received prior to action taken, or as otherwise deemed fair and appropriate by Sponsor which, in turn, will determine the number of Sweepstakes entries. Sponsor reserves the right to prosecute any fraudulent Tracking Sheet submissions to the fullest extent of the law.

The terms and conditions of the Hibbett Sports Gift Certificate will apply. Award must be accepted "as is". Sponsor reserves the right to substitute an award of equal value or comparable use. Acceptance of award constitutes consent on behalf of the recipient to the use of his/her name, city, state, statement, photograph and likeness for advertising and promotional purposes without additional compensation, except where prohibited by law.

Sweepstakes Prizes: A Microsoft^® 250 GB Xbox 360^® Kinect^™ gaming system will be awarded to five (5) winners, Approximate Retail Value (ARV): $400 each prize. Total ARV of all prizes to be awarded: $2,000. Drawing for all five prizes will be conducted on or about 10/11/11, from among all eligible entrants. Odds of winning a prize will depend upon the number of eligible entries received. Prize will be accepted "as is" and is non-transferable and non-assignable. Brooks may substitute a prize (or prize component) of equal approximate retail value and comparable use for any reason. Any and all warranties and/or guarantees on the prize (if any) shall be subject to the manufacturer's terms, and winner agrees to look solely to such manufacturer for any such warranty and/or guarantee. Make/model of prize components subject to change at Sponsor's sole discretion. Please allow up to 8 weeks for delivery of Prize.

CONDITIONS OF ENTRY: By participating, all sales associates agree to be bound by these Official Terms & Conditions and by the decisions of Brooks, which shall be final and binding. Brooks may prohibit any entrant or potential entrant from participating in the Sweepstakes, if at their sole discretion, such person shows a disregard for these Official Rules, or acts (1) with an intent to annoy, abuse, threaten, or harass any other entrant, or Brooks representative; or (2) in any other disruptive manner. Participants hereby release Brooks Sports, Inc. ("Sponsor"), Hibbett Sports^®, their respective parent, affiliates, subsidiaries, divisions, advertising and promotion agencies, Marden-Kane, Inc. and their successors and assigns (collectively "Releasees"), from any and all claims, losses, actions, or damages, whether actual, incidental or consequential arising out of or relating to participation in this Program, or the use or misuse of any award or prize. Releasees are not responsible for any human or printing errors in these Official Terms & Conditions and promotional materials or for incorrect transcription of entry information, inability to access any online service or Web site, or any other error or malfunction, or any injury or damage to participant's or any other person's computer related to or resulting from participation, or for late, lost, stolen, illegible, misdirected or postage due entries. Entry materials that have been tampered with or altered are void. If, in the Sponsor's opinion there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of this Incentive Program, or if any difficulties compromise the administration, security, fairness, integrity, or proper conduct of the Incentive Program, the Sponsor reserves the right to void any entries at issue and/or to suspend, modify or cancel, or terminate this Incentive Program, in whole or in part, at any time without notice and award the prizes in a random drawing from among all non-suspect eligible entries received as of the termination date. Caution: Any attempt by a participant or any other individual to deliberately damage any wireless or online service or Web site or undermine the legitimate operation of the Incentive Program may be a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek damages and/or other remedies from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision.

In the event of time of war, national emergency, accident, dangerous weather conditions, fire, riot, strikes, lock-outs, industrial disputes, acts of terrorism or other matters beyond the Sponsor's reasonable control, Sponsor has the right, in its sole discretion, to terminate the Incentive Program.
